Terms of Sale

These Terms of Sale govern all wholesale and bulk purchase orders placed with Texy Pride LLC ("Texy Pride," "we," "us"). Texy Pride's primary operations, including manufacturing, are based in Sri Lanka; for U.S. customers and payment processing, Texy Pride LLC is registered as a Wyoming limited liability company with a U.S. business address at 9169 W State St, Garden City, ID 83714, USA. Orders are shipped internationally direct from our facility in Sri Lanka, as described in Section 6 below. By placing an order, you ("Buyer") agree to these terms.

1. Who can order

Texy Pride sells apparel in bulk pack/case quantities — not single units — to any buyer: businesses purchasing for resale, private-label production, or organizational/uniform use, and individuals placing a bulk order for personal use, an event, or a resale venture. There's no account application or approval process. Buyers purchasing for resale who want to claim a sales-tax exemption may provide a valid resale certificate, sales tax permit, or EIN; this is optional and not required to place an order. We reserve the right to decline or limit any order at our discretion.

2. Minimum order quantities

Each style is sold in fixed pack/case quantities as listed on the applicable product page (for example, "Pack of 6: 1S-2M-2L-1XL"). Buyer may order any whole number of packs but may not order partial packs or request pack ratios be split or reconfigured, as packs ship pre-sealed from our facility. Some styles carry an additional per-order or per-colorway minimum, disclosed on the product page or in your quote.

3. Pricing & quotes

Pricing is not published publicly and is provided by quote upon inquiry, scaled to your order volume. Quoted pricing is valid for 30 calendar days unless otherwise stated in writing. All quotes and invoices are issued in U.S. Dollars (USD). Prices are exclusive of shipping/freight and applicable U.S. state sales or use tax, which is Buyer's responsibility unless a valid resale certificate is on file for the ship-to state. Because shipments originate outside the United States, prices are also exclusive of import duties, tariffs, and customs brokerage fees, which are Buyer's responsibility as importer of record — see Section 6 below.

4. Payment terms

Full payment is required before an order is picked, packed, or entered into production — we do not offer Net terms, trade credit, or pay-on-invoice arrangements of any kind. Accepted payment methods (typically credit/debit card or bank transfer) are confirmed on your quote or invoice. Payment is collected securely through a third-party payment processor such as Stripe or Wise; Texy Pride does not store or directly process your card details. Orders do not enter production or fulfillment until payment has cleared.

5. Order acceptance

A purchase order is not binding on Texy Pride until we confirm it in writing (including by email order confirmation or invoice). We reserve the right to decline any order, limit quantities, or correct pricing/typographical errors prior to confirmation.

6. Title and risk of loss

Title to goods passes to Buyer upon our tender of the goods to the carrier at our facility in Sri Lanka (F.O.B. Origin, Sri Lanka). Risk of loss also passes to Buyer at that point; shipments lost or damaged in transit are the subject of a carrier claim as described in our Shipping Policy, which we assist with but which is ultimately a claim against the carrier once goods have been tendered to them. Because goods ship internationally, Buyer is the importer of record for its shipment and is solely responsible for import duties, tariffs, customs clearance, and any related brokerage fees assessed on entry into its country; Texy Pride is not responsible for delays, additional costs, or goods held by customs authorities during the import process.

7. Legal & export restrictions

Our products are ordinary apparel and are not subject to special U.S. or Sri Lankan export-control licensing. We do not ship orders to, or on behalf of, any individual, entity, or destination subject to sanctions or trade embargoes administered by the U.S. Treasury's Office of Foreign Assets Control (OFAC) or equivalent restrictions under Sri Lankan law. Buyer remains responsible for complying with its own country's import regulations, as described in Section 6 above.

8. Product variation

Because our goods are dyed, cut, and sewn in production lots, minor variation in color, fabric hand, and measurements between lots is normal in the apparel industry and is not considered a defect. See our Returns Policy for what qualifies as a covered defect.

9. Limitation of liability

To the fullest extent permitted by law, Texy Pride's liability for any claim arising from a sale is limited to the purchase price of the affected goods. We are not liable for indirect, incidental, or consequential damages, including lost profits, arising from a delayed shipment, product defect, or order error.

10. Governing law

These Terms of Sale are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any dispute arising from a sale will be resolved in the state or federal courts of the State of Wyoming.
